This seminar offers an analysis of the factors that contribute to the emergence of business crises and the most effective strategies for managing them. Specifically, it will explore the crucial role of the Board of Directors (BoD) and the Audit Office in crisis management, with a specific focus on Article 725 of the Swiss Code of Obligations (CO). This article outlines the BoD's duties regarding the monitoring of the company鈥檚 financial situation and mandates specific actions in the event of capital loss or insolvency risk, also involving the Audit Office.
The seminar aims to analyze the main internal and external causes of business crises, understand the warning signs and preventive measures that the BoD can take to avoid worsening financial difficulties, delve into the legal obligations and responsibilities of the BoD and the Audit Office according to Article 725 CO, and finally, present recent decisions from lower courts, the Federal Supreme Court, and the Federal Audit Oversight Authority (ASR) on the liability of the Audit Office. Additionally, the seminar will explore best crisis management practices with particular reference to documentation requirements. A roundtable discussion will be held at the end of the seminar.
